1. Registration and ID verification on Actinium

ID verification is the first part of registration process which must be completed by both buyers and sellers alike.
Each seller must pass through the ID verification stage where we verify the identity of each seller who is attempting to list any product on Actinium. The process is quite simple and time efficient.

The steps for Registration are as follows:

1) Enter your Full name
Please ensure that the name you enter is the same as name in the ID documents that you will upload in the next steps :-

i. Mobile Number
ii. Address
iii. District
iv. State
v. Email ID
vi. Click on the link sent to your email ID
vii. Upload your ID Document

You can upload any of these following ID documents
Aadhar card, PAN card, passport, ID card or Driver license, College ID card.
The guidelines for this step are as follows:

1) Take a photo of the ID both front and back side Must be clicked and uploaded.
2) The photo should be bright and clear and all corners of the document must be clearly visible.
3) The photo cannot be edited or photoshopped or altered in any manner.
4) The ID should not be out of date

ix) Take a photo selfie with the ID document and upload it

Follow these guidelines while completing Step 6 :-
i) The photo should be bright and clear in which your face and the ID document should be clearly visible.
ii) The photo should not be edited or photoshopped or altered in any manner.

It is important to ensure that the information that you type exactly match the documents that you are uploading.

Your information will now be processed.

2. How Long does ID verification take

ID verification normally completes in minutes but in some cases, this can take up to 24 hours.
You will receive a confirmation email once ID verification has passed.

3. Increase Chances of Finding a Buyer

Listing your product in the best way possible greatly enhances the chance of getting contacted by the potential buyer.

Executing the steps mentioned in the following guidelines can greatly enhance your chance of getting a buyer for your asset :-

i) Authentic Information

The information that you give should be authentic and should be backed up by sufficient and reliable proof as this will greatly increase the trust that the potential buyers will place in the listing.


ii) Attractive Title

The Title of the listing should be attractive and garner attention of the buyer.


iii) Introductory Paragraph

This is like the executive summary of your business or asset it should be descriptive and should make the understanding of the business easy for the potential buyers, it can include contents like


Name
Industry,
Details regarding the Customer base,
Skills that the buyer will require to successfully run the business,
Competitive strength of the business
The competition status


iv) Financials

The financial information shared by the seller should follow these guidelines to garner more attention :-
1. Accurate and sufficiently detailed, more detailed more chances of making a sale.
2. Backed by reliable Proof which should be uploaded by the seller with the listing 3. Should consist data of at least past 12 months.
4. Seller should try to answer as many questions with the listing as he possibly can which the buyer is likely to ask.
For Example
The competitive strength of the company ?
The skills possessed by the team members ?
The future potential ?
The Profitability of the company ?
The major revenue and cost heads etc.
We have provided a template of financial statements for you to enter your data and present it to buyers.


v) Google Analytic

The data of google analytics should be provided by the seller thus increasing the trustworthiness of the claims made by the seller and helping the buyer to make a genuine and authentic image of the business in the minds of the potential buyers.


vi) Quick Response Time

If the buyer has contacted you, then you should not unnecessarily delay the response as it may lead to frustration of the buyer and he may drop the idea of buying your asset.


vii) Price

The seller should carefully set the asking price so that it should be competitive and fair.
Asking exorbitant price for your asset may dissuade many potential buyers who are looking for reasonable deals.

4. Why should I communicate and make payment through Actinium and not directly ?

Paying and communicating through Actinium has various benefits over paying directly

1) If you use Actinium you are protected under our terms of service and policies.
2) We are third party, the payment will remain secure with us until the required conditions for transfer of asset are completed.

3) Presence of Actinium will greatly enhance the trust in the authenticity of the process and the opposite party.

4) Actinium can provide reference details and other documents relating to sale and can act as a mediator in case of any dispute.
5) Dealing through Actinium will protect you from fraudulent activities and individuals.

6) You may choose to communicate outside the actinium but we strongly suggest to bring back the discussion our forum to bring legitimacy to your discussions.
7) If you choose to deal with a buyer or seller outside actinium, then we can not provide you any protections what so ever in case anything undesirable happens.

8)You will be placing yourself under grave risk of fraud and other security concerns if you choose to deal outside.

If any buyer or seller asks you to make a deal outside the actinium platform, then you are advised to report it immediately to actinium so as to protect yourself from fraud and theft and other security issues.
You should NEVER pay for anything outside Actinium, you should always use the official actinium payment platforms to make and receive any kind of payment.

If someone asks you to pay or accept payment for an asset listed on Actinium outside of our payment system - or you suspect someone of falsifying details or engaging in any other suspicious activity - report this immediately to support@actinium.in . The case will be extensively investigated and the responsible party will be banned from Actinium platform.

5. How to transfer ownership of a domain ?

If buyer and seller have accounts on the same domain registrar, the seller retrieve's the buyer's account ID and requests a "domain push" within their control panel.
If buyer and seller have accounts on different domain registrars, the buyer should contact their domain registrar, who will then reach out to the seller's registrar.

Detail

Transferring domains between owners is a simple process involving the domain registrars of both the buyer and the seller.

A domain registrar is a company like GoDaddy, Name.com, etc. which holds all the information pertaining to the domain's ownership.

If buyer and seller have accounts on the same domain registrar, the process is straightforward. The seller simply retrieve's the buyer's account ID and requests a "domain push" within their control panel.

If buyer and seller have accounts on different domain registrars:
The buyer may initiate the transfer by contacting their domain registrar, who will then reach out to the administrative contact of the site's old registrar.

The seller may facilitate a smooth transfer by unlocking the domain and providing an authorization code or an EPP code.
Please note that to complete the transfer the buyer and new owner of the domain may need to accept the domain into their account.

Each domain registrar may have different processes. For more detailed information, you may contact your domain registrar for the exact process for transferring/ receiving domain ownership.

6. How to transfer a website

The steps are as follows :-

Before any of these steps begin, we recommend that the buyer should deposit the negotiated amount of sale to Actinium as a third party and after the website is transferred the amount can be transferred to the seller after getting permission from both the parties.

1. Seller to transfer the domain/ Buyer to accept the domain

2. Buyer to sign up for a hosting account/ seller to provide access to their hosting account

3.Seller to provide access to all connected third-party services and accounts

4.Seller to send to the buyer any files related to the website

Transferring a website to a new owner/ receiving a website from a current owner is straight forward process with a few steps.

Seller to transfer the domain/ Buyer to accept the domain
The first step is to transfer the domain, please see this guide: How to transfer ownership of a domain

Buyer to sign up for a hosting account/ seller to provide access to their hosting account.
After the domain has been transferred, the buyer will need to find a suitable hosting provider for the website.

As a seller, transferring a website is the most straightforward. Simply provide the new owner with access to your hosting account. Make sure that any confidential information is removed before doing so - or obtain the buyer's details and change the account’s contact information to match the new owner.

Seller to provide access to all connected third-party services and accounts.
A website often has additional third-party services such as Google Analytics that will also need to be transferred to the new owner. With respect to Google Analytics, since it is linked to your Google account and therefore other services that you will want to continue to use, it would be better for the buyer to setup a Google Analytics account and the website transferred to that.

Seller to send to the buyer any files related to the website.
The last thing that should be considered are any files that are associated with the website. This can include logos, icons and other images or media.

The above should cover almost everything involved in transferring a website to a new owner.

Many companies offer website transfer services. If you have any concerns about the process this may be a better option that trying to do it yourself as their site migration team will take care of the entire website transfer process for you.

7. How to transfer ownership of an iOS or Android app

8. Seller's Responsibilities

The following are the seller’s responsibility in the transfer process :-
1. It is the seller’s responsibility to ensure that they are in a position to fully transfer ownership and possession of all assets and other items, documents, contents, access and all other things included within a sale which included any password and access provided to third party account and any other documents and attachment that are reasonably demanded by the buyer in order to complete the sale of the asset. The Seller may keep a copy of the Records for its own compliance purposes.

2. It is also the seller's responsibility to ensure that the duly executed instruments of transfer, sales contract are presented to the buyer in a form and manner satisfactory to the buyer.

9. Buyer's Responsibilities

The following are the seller’s responsibility in the transfer process :

1. It is the buyer's responsibility to ensure that they are fully aware of the transfer process and capable of receiving and operating all assets and other items, documents, contents, access and all other things which are included in the sale.

2. The buyer should verify with the seller that the seller is in a legal position to fully transfer the ownership and all other assets within the sale of the digital property.

3. The buyer should ensure that he is qualified and is absolutely clear regarding the working process, policies and procedures to take the ownership and possession of the digital asset and all other inclusions in the sale.

10. Sale of Mobile app related assets

Actinium suggest that buyers and sellers discuss the proposed sale and transfer of ownership with any relevant app store/ platform that the app is sold on.
Actinium suggests that the buyers should possess the requisite knowledge of the source code and technical nature and associated requirements of the app

11. Rules regarding potential revenue claims made by Seller

If any digital asset is not making money but the seller believes that the asset has the potential and opportunity of making money in the future than the seller can make claims provided :-

1) Seller should clearly and explicitly state in the beginning that the claims are of ‘potential’ revenue and not actual revenue.

2) Seller should back up the claims by providing evidence and data from reliable sources showing the potential of the asset as claimed.

3) Any assumptions that are taken while calculating the potential revenue must be stated clearly and evidence should be provided to ascertain the reliability of the assumptions.

The seller is required to state this line in the title of the listing when selling an asset on basis of potential revenue
This (website, app or business) is being sold on the basis of the potential to generate revenue or traffic.

This statement must then be accompanied by reliable workings and assumptions that clearly explain the method for determining the potential revenue.

In the listing description, any statement or claim of potential revenue or potential traffic must use the specific words ‘potential revenue’ or ‘potential traffic’.

For example: Not allowed This website will make Rs2000/day or more. Allowed This website has the potential revenue of Rs2000/day or more.

Not allowed This app can be used to make Rs2000+ per day
Allowed This app can be used to make potential revenue of Rs1000+ per day.

12. What to do when an offer has been made to you ?

The seller should help the buyer to conduct due diligence thoroughly and to the satisfaction of the buyer.
The bigger and complex the business, the longer time it may take to conduct proper due diligence.
Once due-diligence is completed to the satisfaction of the buyer, Both the parties need to form and sign a contract of sale to document what has been agreed.

Actinium can assist with a contract of sale and transferring funds. We have a template sales agreement available for your convenience and this is attached, however we recommend you seek your own legal advice with respect to the final contract of sale.

13. Contract of Sale

It is very important that the buyer and seller make a Contract of sale to document all the terms and conditions and the particulars on which they have accepted to execute the sale process.

The contract needs to be signed and agreed by both parties, it will give a legal binding to the sale of the Asset.

The agreement should be made available to Actinium

We have a template sales agreement available on Actinium, however we recommend you seek your own legal advice with respect to the final contract of sale.

14. App due diligence

The buyer who is conducting due diligence for purchasing an app can follow these guidelines for help :-

1) Download the application on your device and carefully check the claims made by the seller and the actual working of the app

2) Gather full information relating to the ownership, the source code, app development language and procedure etc.

3) Check the reviews in the app store

4) Ask the seller regarding the maintenance and the skill set required to properly run the application.

5) If the app has been purchased from another party or platform/ provider, insist that the seller provides full purchase codes.

Conducting proper due diligence is essential to make sure that the buyer do not purchase an app that infringes another person's copyright. If it does it is likely to be removed or banned from app stores and you may be contacted by the other party wanting to take further steps with regards to the infringement.

15. How do I verify ownership of my iOS app?

Verifying ownership of any asset is a vital part of the listing process.

We verify ownership for all properties listed on Actinium, including iOS apps.It is mandatory to list your app on Actinium.

Apple has recently changed what can be added without resubmitting your app for review. Please add the verification token to your app's promotional text(https://developer.apple.com/app- store/product-page/) or copyright field in App Store Connect(https://developer.apple.com/app-store-connect/) and let us know so we can verify your app's ownership for you

16. How to Transfer Domain Ownership

There are two types of domain ownership transfer:

1. Same Registrar

Things you need to know before transfer between two accounts with same registrar

1. Domain Lock Period (10 Days)
It is the minimum number of days domain should be held by owner before transferring it. The domain lock period may vary according to registrar.

2. Ensure admin email is up to date.

3. New Owner is required to have an account with same registrar.

4. Some Registrar give transfer option for account to account transfer.

5. Many Registrars provide a pin to transfer domain to any other account.

6. Some of the registrars ask to submit a ticket and provide new owner’s registered email with his account, in which you want to transfer domain. They will move it to other account.

If Option to Transfer is given :

Let’s take example of GoDaddy.com

1. Go to your GoDaddy.com domain

2. Select down list option of the domain

3. Click edit contacts

4. Click transfer domain to another GoDaddy account.

5. Follow the steps displayed there and complete the process.

If Option to Transfer is not given:

In this case, send a request to the registrar through mail and provide them the registered email ID of the new owner.

The entire process of Transfer can take between
10 minutes to 24 hours.


2. Other Registrar

Things you need to care about before transfer to other Registrar

1. Domain Lock Period (60 Days)

2. Ensure admin email is up to date.

3. New owner should register an account on the other registrar.

Steps to change the transfer the ownership

Step 1

Disable WHOIS or Domain Privacy

Step 2

Unlock the Domain (Remove Domain Lock)

Step 3

Get EPP code (Authorization code)

(Note: Provide this to the new owner to initiate domain transfer process on his end.)

Step 4

Request a Domain Transfer
(New owner can start the domain transfer from his registrar account with the help of EPP code, By clicking on Transfer in his account.)

Step 5

Approve Transfer Request Email.

This process will take 5-7 days to complete the transfer.

17. How to Transfer Hosting of Website?


Domain and Hosting can be with different hosts.

Use a Web hosting provider that uses cPanel to make it easy to transfer.

The following steps are required to transfer hosting to a new host:

Step 1 :- Create a Full Backup of your website

1. Go to cPanel of your account and
Create a Full Backup of your website including your
My SQL database, emails, all other files and databases.

The two primary ways of doing it are :

1. You can do backup through backup wizard option on your cPanel

2. Through phpMyAdmin and exporting your, My SQL database and exporting the files through public_html folder.

Download the backup to your computer.

Step 2 :- Add Domain

1. Go to new hosting cPanel.

2. Go to Add on Domain option.

3. Copy the domain name of your website and paste it in domain name option.

4. Click on Add domain.

5. A folder of your domain name will be created in the public_html folder.

Step 3 :- Upload the files and database on the new host

Go to cPanel of your new host and upload all the files, databases on your new host.

You have primarily two ways of doing it :

1. Through backup wizard option and restoring.

2. Through restoring My SQL database and uploading files in your domain name folder, in the public_html folder.

Step 4 :- Update the Name servers, Changing the DNS

Never forget to change the DNS and updating the name servers.

You need to get the New DNS from your new hosting provider and replace the old one.

The parties are advised to contact their respective website developers to know more about the process of transfer hosting.

18. Service Provider Firms

The firms engaged in services such as Website development, App development, digital marketing services etc.
These firms can list themselves on ACTINIUM to enhance their customer reach and to increase their brand awareness.
The firms are listed on the website as ACTINIUM believes that the services provided by these firms may be of significance for the users at present or in future.
The users who wish to use the services offered by these firms may contact them on their own with the help of contact information provided by these firms in their listing.
ACTINIUM just list these firms.
Actinium only provides the information relating to the service provider firms engaged in providing services which may be of significance to our actinium users.
However, Actinium makes no claims regarding the truthfulness of the claims made by these firms and any user should conduct his own due diligence before contacting with these firms regarding any potential project. The users must contact with the firms on their own with the information provided in the listing. Actinium has no responsibility whatsoever in any dealing, communication, transaction, results, payments, entry into contracts etc which the users and the firm have with each other.
Actinium is only a platform providing the firms and users to know about each other’s existence and nothing else.
If the users choose to interact with these firms or to use their services in any manner whatsoever, they should do so with full responsibility of their own and not hold actinium responsible for any liability, losses etc arising out of their dealings with these firms.

19. Transfer of patent/ copyright/ trademarks/ intellectual property

Contact your respective intellectual property attorney to successfully transfer any kind of intellectual property.
